John H. Matheson is Of Counsel to Kaplan, Strangis and Kaplan, P.A. and has been affiliated with the firm since 1987. He specializes in matters of business law, including corporate governance, fiduciary duties, limited liability companies (LLCs), contract matters, securities, and mergers and acquisitions.

Mr. Matheson is the Law Alumni Distinguished Professor of Law and Director of the Corporate Institute at the University of Minnesota Law School. He has been a member of the Law School faculty since 1982, and is a five-time recipient of the Law School’s annual Professor of the Year Award for Excellence in Teaching and Counseling. An internationally-recognized expert in corporate and business law, Mr. Matheson has also taught in China, England, Germany, Ireland, the Netherlands, Uruguay, and Lithuania.

Mr. Matheson has published numerous books and articles about business and corporate law issues. He co-authored an article, “Changing Delaware’s Desirability as a Haven for Incorporation,” that received the National Burton Award for Legal Writing Excellence. He also sits on the board of Lawyers Concerned for Lawyers, a non-profit organization devoted to promoting the health and well-being of attorneys, judges, and law students.

Prior to entering private practice, Mr. Matheson clerked for Judge Robert A. Sprecher of the United States Court of Appeals for the Seventh Circuit.
